Please read carefully the Direct Access User Agreement below. The agreement includes disclaimers of liability and other matters of interest to users.

To print the agreement, press the "control" and "p" keys when using a Windows operating system; the "apple" and "p" keys when using a Macintosh operating system; or the "alt" and "p" keys when using a UNIX operating system. You may also receive a copy of the agreement by calling customer service at 1-800-374-9700 or you can download the agreement to your computer.

IN THIS AGREEMENT, the words "you" and "your" mean the Direct Access customer. "Citibank," "we," "us," and "our" mean Citibank, N.A., Citibank, F.S.B., Citibank (New York State), or Citibank (Nevada), N.A., depending on the customer's banking relationship. "Other Citicorp Company" means Citicorp or any company controlled by Citicorp (other than Citibank.) "Credit Cards" means certain credit cards issued by Citibank (South Dakota), N.A.

"Other Information Provider" means any provider of information accessible through Direct Access, other than Citibank or any Other Citicorp Company. Other Information Providers may include, among others, Standard & Poor's, the New York Stock Exchange, the American Stock Exchange, NASDAQ Stock Market, the Options Price Reporting Authority and Wall Street On Demand. "Access Service Provider" means any Internet Service Provider providing connection to the Internet, any Commercial Online Service Provider providing connection to the Internet in addition to its own proprietary private network, for example, America Online, CompuServe and Prodigy, and the provider of the private network connection discussed below. "Other Software Supplier" means any supplier of software used in Direct Access or used to access Direct Access, other than Citibank or any Other Citicorp Company.

A. What this Agreement Covers
This Agreement between you and Citibank governs the use of Direct Access, an electronic service that permits Citibank customers to access a number of financial services through the use of personal computers. Access may be provided through a private network connection or through the World Wide Web. Accounts and services provided by Citibank or any Other Citicorp Company which you access through Direct Access may be governed by separate agreements with you.

B. User Materials
Before you initiate your first Direct Access transaction, you agree to familiarize yourself with the system by reading the Direct Access User Guide provided to you either on paper or electronically. The information contained in this Direct Access User Guide and any updates to it are part of this Agreement.

C. Accepting the Agreement
You understand that by using Direct Access you have agreed to the terms and conditions of this Agreement. You agree to use Direct Access solely as provided in this Agreement.

D. Maintaining Your Accounts
You agree to properly maintain any accounts you have with Citibank or any Other Citicorp Company, to comply with the rules governing these accounts, and to pay any fees associated with the use or maintenance of these accounts, including commissions you may incur in connection with securities transactions.

E. Services
The following are examples of what you can do using Direct Access. Some of these services require an account linked to a valid Citicard®. * Service not available for Connecticut Equity Source and Preferred Line accounts.

*** A linked Citibank checking or IMMA account is required to obtain this service.


F. Applying for Additional Accounts and Services
If you apply for an account or service through Direct Access, or ask to change an account or service you already use, you authorize Citibank and Other Citicorp Companies to treat your application or request as if it had been made in writing and signed by you.

G. Transfers and Bill Payments
When you instruct Citibank to transfer funds between your Citibank accounts or pay a bill through Direct Access, you authorize Citibank to withdraw the necessary funds from the Citibank account you designated. You agree that you will instruct Citibank to make a withdrawal only when a sufficient balance is or will be available in your designated account at the time of withdrawal. Citibank will not be obligated to act on any withdrawal instruction from you if sufficient funds, including overdraft lines of credit, are not available in the account you designated .

Citibank processes bill payment in three ways. Certain payments are made with an individual Citibank bank check, or, in the case of payees who receive a large number of payments from Citibank customers, with a consolidated Citibank bank check. All bank checks are sent through the mail. The other method of processing payments is through electronic funds transfer.

In the case of payments made by Citibank bank check, the money is taken out of your account on the date you specified when you gave us your instructions. Generally, we mail it on that day. If, however, you specify a date which falls on a Sunday or holiday, we will take the money out of your account on that day but not mail the check until the next business day.

In the case of electronic payments, the money is taken out of your account on the day we electronically transmit the payment to the payee. In most cases, this is the date you specified when you gave us your instructions. If, however, you specify a date which falls on a Saturday, Sunday, or holiday, we will take the money out of your account and electronically transmit it to the payee on the next business day.

You may call Citibank at the number listed in Section N of this Agreement to confirm that a bill payment was sent in accordance with your instructions. All bill payments receive a reference number that appears on your monthly Citibank account statement. Citibank is not responsible for postal delays or processing delays by the payee.

You may make individual bill payments of less than $10,000 each on Direct Access. Payments must be for at least $1.00.

If there are insufficient funds available in your designated account on the day a transfer or bill payment is scheduled to be made, Citibank will notify you by electronic message or by mail and automatically try to complete it on the next two consecutive calendar days with the exceptions of Thanksgiving, Christmas and July 4th. If there are still insufficient funds on the third try, Citibank will cancel the transfer or bill payment and notify you of this. If you have designated checking as your account for transfers or bill payments, we will use available funds in Checking Plus to cover them.

You can cancel a future payment or automatic transfer from your Citibank account by using Direct Access or by writing or calling Citibank at the address/phone numbers listed in Section N of this Agreement. We must receive your notice by 11:59 pm* of the day prior to the payment date you specified when you set up the payment. We may ask you to confirm phone instructions in writing within two weeks.

* This refers to 11:59 local time, except that if you are outside the continental U.S., this refers to 11:59 p.m. Pacific Time.

H. What Direct Access Will Cost
There are currently no monthly service charges or transaction fees for Direct Access. However, you are responsible for all telephone charges incurred in connecting to Direct Access. You also are responsible for charges by any Access Service Provider. No charge is made for use of the private network connection. In addition, bill payments may be included in determining the monthly service charge for Basic Banking accounts.

There may be separate charges for additional services you request on Direct Access - for example, services of Other Information Providers. You will be informed of the cost of each additional service when you sign up for it.

I. Changes in Terms/Fees
Citibank may change the Direct Access services and the terms, including fees, set forth in this Agreement at any time. You will be notified of any such change as required by applicable law, either by mail or by an electronic message. You understand that by using Direct Access after a change becomes effective, you have agreed to it.

J. Cancellation
This agreement will remain in effect until it is terminated by you or Citibank.

You understand that you may cancel this Agreement at any time by notifying Citibank electronically or by mail at the address provided in Section N of this Agreement. This will also cancel any Direct Access services you obtain from Other Information Providers but will not terminate your accounts with Citibank or Other Citicorp Companies.

Citibank may cancel this Agreement and terminate your use of Direct Access for any reason, at any time. We will try to notify you in advance, but we are not obliged to do so.

K. Confidentiality at Citibank
You have a right to confidentiality and we will not give anyone other than our employees, agents, and Other Citicorp Companies specific information about your Citibank accounts except: Because our statements may include information about linked accounts belonging to more than one individual and your accounts with Other Citicorp Companies, statements released under a subpoena may contain information regarding these other persons and accounts.

Except as otherwise prohibited by law, you agree that Citibank may share with Other Citicorp Companies the information about you that you provide, or that Citibank obtains as a result of transactions or other activity, for, among other things, the purpose of offering you products and services that we believe may be of interest to you. If you do not wish to receive telephone and/or mail solicitations from Citibank or Other Citicorp Companies, please notify us by calling the number set forth in Section N of this Agreement, or visit your branch. We will then remove your name from any mailing or telephone list used for these purposes.

You agree that Citibank may download certain information, including customer identification information, to your computer.

L. Limit of Citibank and Other Providers' Responsibility
Citibank agrees to make reasonable efforts to ensure full performance of Direct Access. Citibank and Other Citicorp Companies will be responsible for acting only on those instructions sent through Direct Access which are actually received and cannot assume responsibility for malfunctions in communications facilities not under their control that may affect the accuracy or timeliness of messages you send. Neither Citibank nor any Other Citicorp Company is responsible for any losses or delays in transmission of instructions arising out of the use of any Access Service Provider or caused by any browser software. Neither Citibank nor any Other Citicorp Company is responsible should you give incorrect instructions or if your payment instructions are not given sufficiently in advance to allow for timely payment or delays in mail service.

Any information you receive from Citibank, Other Citicorp Companies or Other Information Providers is believed to be reliable. However, it can only be provided on a best-efforts basis for your convenience and is not guaranteed. Neither Citibank, any Other Citicorp Company nor any Other Information Provider is liable for any deficiencies in the accuracy, completeness, availability or timeliness of such information or for any investment or other decision made using this information.

Neither Citibank, Other Citicorp Companies or Other Information Providers are responsible for any computer virus or related problems which may be attributable to services provided by any Access Service Provider.

Except as otherwise provided in the "Citibank's Responsibility to You " provision of Section P of this Agreement and in the absence of negligence on the part of Citibank or any Other Citicorp Company: (a) neither Citibank, any Other Citicorp Company, any Other Information Provider, nor any Other Software Supplier is responsible for any direct, indirect, special, incidental or consequential damages arising in any way out of the use of Direct Access; (b) the entire liability of Citibank, Other Citicorp Companies, Other Information Providers and Other Software Suppliers and your exclusive remedy with respect to the use of Direct Access shall be the replacement of any browser or other software provided by Citibank to use with Direct Access found to be defective. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, in such states the liability of Citibank, Other Citicorp Companies, Other Information Providers and Other Software Suppliers is limited to the extent permitted by law.

NEITHER CITIBANK, ANY OTHER CITICORP COMPANY, ANY OTHER INFORMATION PROVIDER NOR ANY OTHER SOFTWARE SUPPLIER MAKES ANY EXPRESS OR IMPLIED WARRANTIES CONCERNING DIRECT ACCESS SOFTWARE OR SERVICES OR BROWSER INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT OF THIRD PARTY PROPRIETARY RIGHTS UNLESS DISCLAIMING SUCH WARRANTIES IS PROHIBITED BY LAW.

M. No Other Use
Direct Access uses propriety software of Citibank, Other Citicorp Companies, and Other Software Suppliers. If Citibank has provided you with software to use with Direct Access, you are being granted a non-exclusive license to use this software. This allows you to use the software only for its intended purposes as provided in this Agreement. You may not disassemble, decompile, copy, modify or reverse engineer any of the Direct Access software or allow anyone else to do so, except that if you are a resident of a member nation of the European Union, you may decompile the interface to this software to the extent permitted under the European Software Directive, as amended from time to time.

Direct Access gives you access to services and information from Citibank, Other Citicorp Companies and Other Information Providers, which may be presented with a distinctive "look and feel." These services, information and "look and feel" are proprietary property of Citibank, Other Citicorp Companies and Other Information Providers. You may use Direct Access only for your personal, non-business use and may not reproduce, sell or distribute all or any portion of the information provided to you by Direct Access.

You agree that we may record the conversations our employees have with you. We do this from time to time to monitor the quality of service and accuracy of information our employees give you, and to ensure that your instructions are followed.

Customer Service can help resolve any Direct Access problems, but Customer Service is not authorized to waive any provision of this Agreement.

O. Electronic Messages
Because normal Internet e-mail transmissions may not be secure, you agree to contact us electronically only through the "messages" task in the "customer service" channel. You also agree to receive communications regarding your account electronically and will not attempt to circumvent receiving any messages. You are deemed to have received any electronic messages sent to you when they are made available to you. You may print a copy of such communications using the "print" function of your software, or you may request that Citibank mail you a paper copy of such communication by contacting Customer Service as provided in Section N.

P. Electronic Funds Transfers
Direct Access enables you to transfer funds to or from your linked Citibank deposit accounts. The Electronic Funds Transfer Act provides you with certain rights and responsibilities with respect to certain of these transfers, called "Electronic Funds Transfers." Please note that Electronic Funds Transfers under the Electronic Funds Transfer Act do not include securities transactions, such as transfers made in connection with the purchase or sale of securities. Before you complete your first Electronic Funds Transfer on Direct Access, you must read this section which explains your rights and responsibilities under the Electronic Funds Transfer Act.

Business Days
Our normal business days are Mondays through Fridays, except for bank holidays. Saturday, Sunday and Monday are considered one business day.

Bank holidays are considered part of the following business day.

Account Statements
Except as follows, you will receive a monthly account statement for your deposit accounts, showing, among other things, your Electronic Funds Transfers. We do not send regular statements for passbook accounts, but we will send you a special statement for electronic transactions involving these accounts.

Your statement may be sent on a quarterly basis if there has been no activity in your account for at least three months.

Lost or Stolen Access Devices
If you use software provided by Citibank to connect to Direct Access, please remember that this software is valuable, and it is important for you to exercise care with it. Never lend it to anyone. Be sure to keep your Personal Identification Number ("PIN") to yourself; this number is an important means of protection for you. Don't write it on your personal computer or any computer materials. Contact us immediately if you think your Direct Access software has been stolen or lost or if you believe that an unauthorized person has obtained access to your PIN. The telephone is the fastest way to alert us that someone may be using your software or PIN without your permission. You could lose all the money in your account (plus your maximum overdraft line of credit). Call Citibank at the number provided in Section N of this Agreement. Someone will be available to receive your call 24 hours a day.

If you cannot telephone, write us at the address provided in Section N.

Notifying Us Quickly Limits Your Responsibility
If you notify us within two business days after discovering your Direct Access software is lost or stolen or after discovering that someone has obtained access to your PIN, you will not be held responsible for any unauthorized transfers or withdrawals over $50, providing that you are not trying to defraud us.

If you do not contact us within two business days, and we can prove that we could have stopped someone from accessing your account without your permission if you had told us, we can hold you responsible for unauthorized transfers or withdrawals that occur between the end of the two-business-day period and the time you actually notified us. In any event, your maximum liability for such unauthorized transfers or withdrawals during this period is $500.

Also, if you think that a transfer or withdrawal shown on your monthly statement is incorrect, or if you believe an unauthorized transfer or withdrawal has taken place, contact us as soon as you can. We must be notified within 60 days from the postal date on the first statement we mailed to you on which the suspected problem appeared. By contacting us, you will not be liable for unauthorized transfers or withdrawals that occurred during the 60-day period, except for transfers and withdrawals resulting from lost or stolen software or PIN as indicated above. If you don't contact us within this 60-day time period, you could be held responsible for all unauthorized transfers and withdrawals that occurred between the end of the 60-day period and the time you actually notified us, and if the transaction could have been prevented if we had been notified.

Naturally, we will extend the time periods if you were prevented from contacting us for a good reason (such as a long trip or hospital stay)

If you call to notify us of a suspected error, we may request that you send us your complaint or question in writing. If we do, we must receive this information within 10 business days of your call.

Errors and Problem Resolution Procedures
If you think there has been an error in an Electronic Funds Transfer, contact us as soon as possible. You can write or call (see Section N of this Agreement for the address and phone numbers). To assist you, our representative will need to know: We will investigate every problem, and we will resolve each problem as quickly as possible. As soon as you contact us, we will start our investigation.

Telling You the Result of Our Investigation
We will tell you the results of our investigation within ten business days after we hear from you, and we will correct any error promptly. If we need more time, however, we may take up to 45 days to investigate your complaint or question. If we decide to do this, we will provisionally re-credit your account within ten business days for the amount you think is in error, so that you will have use of the money during the time it takes us to complete our investigation. However, if we asked you to put your complaint or question in writing, and we did not receive your letter within ten business days, we will not re-credit your account.

If we decide that there was no error, we will send you a written explanation within three business days after we finish our investigation. You may ask for copies of the documents that we used in our investigation.

Citibank's Responsibility to You
We will be responsible for your actual losses if they were directly caused by our failure to: However, we will not be responsible for your losses if: Special Withdrawal Limitations: Savings, Insured Money Market Accounts and Preferred Money Market Accounts.
If your Savings and IMMA/PMMA accounts are linked to your Citicard®, you can make withdrawals from these accounts at our Citicard Banking Center®; locations and ATM network machines as often as you wish. However, current banking regulations limit the frequency of other types of Savings and IMMA/PMMA transfers and withdrawals: those you make using a telephone (including our CitiPhone Banking® service and screen telephone); transfers processed through Direct Access; pre-authorized instructions (including our Safety CheckSM service); and IMMA/PMMA checks. In the case of Savings, you are limited to six such withdrawals per calendar month. In the case of IMMA/PMMA, you are limited to six such withdrawals per statement period of which no more than three can be by IMMA/PMMA check. Transfers you use to make payments to your Citibank credit accounts are not subject to these limitations, provided that the deposit account and the credit account are located at the same Citibank entity.

Q. Severability
In the event any one or more of the provisions of this Agreement shall for any reason be held to be invalid, illegal or unenforceable, the remaining provisions shall remain valid and enforceable.

R. Governing Law
This Agreement shall be governed by the laws of the state indicated below and, where applicable, by federal law. Any issue relating to an account or service with Citibank or any Other Citicorp Company which you access through Direct Access shall be governed by the law(s) specified in the agreement for that account or service if there is a separate agreement for that account or service.

S. Limitations on Import and Export
You understand that Direct Access includes encryption controlled software that is currently subject to strict export license requirements prior to export from the U.S. or Canada. You agree not to export any Direct Access software or technical data received from Citibank or any Other Citicorp Company, or their direct product, with out full compliance with all requirements of the Export Administration Regulations (15 CFR Parts 730-774) (The "EAR"). Without limiting the foregoing and even where export is approved under the EAR, export is prohibited to any country in Country Group E;2 of the EAR, to any military end-user/end-use in any country in Country Group D:1 of the EAR, and to any other destination or end-user specifically prohibited under the EAR unless such export has been first specifically authorized by a written export license or other authorization in accordance with the requirements of the EAR. You are solely responsible for obtaining any required export licenses or authorizations and for compliance with the EAR and any export or import restrictions imposed by any other country. Your obligations under this provision shall remain in effect after termination of this Agreement.
